Job Description

What is the opportunity?

As a Senior Associate, Subsidiary Governance, you will have oversight of corporate filings for RBC globally as well as the filings for approximately 70 Canadian subsidiaries managed by the Subsidiary Governance Office (SGO) in Canada. Your daily activities will include preparing and filing annual returns and notices of change (directors/officers, agents for service, addresses etc.) and managing subsidiary records in RBC’s entity management system (GEMS).

 

You will be responsible for evolving SGO’s internal processes connected to maintaining subsidiary records leveraging your strong technology skills and you will actively participate in global team initiatives aligned to RBC’s strong governance model. You will join a global team of dedicated governance professionals that provides ample opportunities to take on progressively greater accountabilities.

 

What will you do?

  • All annual and event-based subsidiary filings that SGO Canada has oversight over.
  • Manage subsidiary records and data integrity internally via GEMS and with our internal document management system (iManage).
  • Manage subsidiary records and data integrity with relevant government agencies (corporate registries, regulatory oversight bodies).
  • Responsible for quarterly Regulatory Compliance Management (RCM) reporting.
  • Provide direct input into the customization and modernization of GEMS.
  • Provides assistance on SGO projects and Law Group initiatives as determined from time to time.

 

What do you need to succeed?

Must have

  • Qualified Law Clerk (ILCO member) with corporate services experience, with experience in corporate filings, corporate secretarial and/or corporate governance practices. Candidates with a desire to learn will be considered.
  • High level of proficiency in Microsoft Office (WebEx, PowerPoint, Word, Excel, Outlook) and strong ability to adapt to new technologies.
  • Innovative self-starter with strong organizational and research skills.
  • Excellent communication skills and strong interpersonal skills, ability to work well within a team and independently.
  • Ability to prioritize and manage multiple tasks with challenging deadlines in a fast paced and dynamic environment.
